Are all activities carried out by company secretaries subject to Part IV of the AMLA 2001?

Answer:
Part IV of the AMLA is applicable to those carrying on Gazetted Activities as published in P.U.(A) 340/2004 and P.U.(A) 293/2006. For company secretaries, the activities are outlined under paragraph 4.. of SSM’s guidelines, i.e. all company secretaries who are whether in person or through a firm or company prepares or carries out the following activities –

1. act as a formation agent of legal entities;

2. act as or arrange for another person to act as a director or secretary of a company, a partner of a partnership, or a similar position in relation to other legal entities;

3. provide a registered office, business address or accommodation, correspondence or administrative address for a company, a partnership, or any other legal entities or arrangement;

4. act as or arrange for another person to act as a trustee of an express trust; or

5. act as or arrange for another person to act as a nominee shareholder for another person.

《2001年反洗黑钱、反恐融资及非法活动收益法令》（AMLA 2001）第四部分仅适用于从事已刊登于宪报（Gazetted Activities）活动的人士，该等活动已载于：
  • P.U.(A) 340/2004；及
  • P.U.(A) 293/2006
对于公司秘书而言，相关活动已列明于马来西亚公司委员会（SSM）指引第4段。无论公司秘书是以个人身份，或通过事务所或公司执业，只要准备或执行以下活动，即属于 AMLA 适用范围：
（a）担任法律实体成立代理人
担任法律实体（Legal Entities）的成立代理人，例如：
  • 注册成立公司；
  • 设立法律实体；或
  • 安排成立企业架构。
（b）担任或安排他人担任公司董事、公司秘书或合伙人
担任或安排他人担任：
  • 公司董事（Director）；
  • 公司秘书（Company Secretary）；
  • 合伙企业合伙人（Partner）；或
  • 其他法律实体中的类似职位。
（c）提供注册地址、营业地址或通讯地址
为公司、合伙企业或任何其他法律实体或安排提供：
  • 注册地址（Registered Office）；
  • 营业地址（Business Address）；
  • 办公场所（Accommodation）；
  • 通讯地址（Correspondence Address）；或
  • 行政管理地址（Administrative Address）。
（d）担任或安排他人担任明示信托受托人
担任或安排他人担任：
  • 明示信托（Express Trust）的受托人（Trustee）。
（e）担任或安排他人担任代名股东
担任或安排他人担任：
  • 代名股东（Nominee Shareholder），代表他人持有股份。
重点说明
只有当公司秘书从事上述宪报活动（Gazetted Activities）时，才须遵守 AMLA 2001 第四部分所规定的反洗黑钱及反恐融资义务，包括：
  • 客户尽职调查（CDD）
  • 认识您的客户（KYC）
  • 实益拥有人识别（Beneficial Ownership Verification）
  • 保存记录（Record Keeping）
  • 可疑交易报告（STR）
  • 持续客户监察（Ongoing Monitoring）
总结
并非公司秘书提供的所有服务均受 AMLA 规管。只有涉及公司成立、董事安排、注册地址服务、受托人服务及代名股东服务等宪报活动时，才属于 AMLA 2001 第四部分的适用范围。
