Documentation and Compliance Requirements


1. Verification of Share Capital Injection as Paid-Up Capital

Prior to processing any proposed increase in share capital, the Company Secretary is required to verify that the additional share capital has been genuinely and fully injected into the Company as paid-up capital. This verification is essential to ensure that the increase is supported by an actual financial contribution and is not merely declarative in nature.

Accordingly, the Company and/or its shareholders must provide sufficient and verifiable documentary evidence to substantiate the capital injection. Such evidence must clearly demonstrate that the funds have been received by the Company.

2. Purpose of Supporting Documentation

The supporting documentation is required to:
• Confirm the source, amount, and timing of the funds injected as paid-up capital
• Demonstrate that the funds have been received and credited into the Company’s bank account
• Ensure full compliance with the Companies Act 2016, the requirements of Suruhanjaya Syarikat Malaysia (SSM), and the Company’s internal corporate governance policies
In the absence of adequate and verifiable documentation, the Company Secretary will be unable to proceed with updating the Company’s statutory records or lodging the relevant filings with SSM.

3. Supporting Documents Required

The Company Secretary may typically request, including but not limited to, the following documents:
• Company bank statements clearly reflecting the receipt of share capital funds
• Shareholder bank transfer slips, remittance advice, or payment confirmations evidencing the transfer of funds
• Proof of payment references that correspond with the declared share capital amount and transaction date
• Evidence showing the application or use of funds (e.g. payments for office rental or operational expenses), where relevant
All documents submitted must be clear, complete, accurate, and internally consistent to avoid delays in processing.

4. Statutory Filing with SSM

Upon receipt and satisfactory verification of all required documents and proof of payment, the Company Secretary will proceed to:
• Update the Company’s statutory registers and internal records
• Prepare and lodge the relevant statutory forms and filings with Suruhanjaya Syarikat Malaysia (SSM)
• Ensure that the increase in share capital is accurately reflected in the Company’s official records and corporate filings

1. 将股本注入核实为实缴资本
在处理任何拟议的股本增加之前,公司秘书须核实新增股本已真实且全额注入公司,并确认为实缴资本。此项核实对于确保股本增加有实际的资金注入作为支持、而非仅属形式或声明,至关重要。
因此,公司及/或其股东须提供充分且可核实的书面证明文件,以证明资本注入的真实性。相关证明文件必须清楚显示资金已实际收讫并进入公司。

2. 支持性文件的目的
所需的支持性文件旨在:
  • 确认作为实缴资本注入资金的来源、金额及时间
  • 证明资金已收讫并入账至公司的银行账户
  • 确保完全遵守《2016 年公司法》、马来西亚公司委员会(SSM)的要求,以及公司的内部公司治理政策
如未能提供充分且可核实的文件,公司秘书将无法继续更新公司的法定记录,亦无法向 SSM 提交相关申报文件。

3. 所需支持文件
公司秘书通常会要求(包括但不限于)以下文件:
  • 清楚显示收到股本资金的公司银行对账单
  • 股东银行转账凭证、汇款通知或付款确认,以证明资金转入
  • 与所申报股本金额及交易日期相对应的付款参考证明
  • 相关情况下,显示资金用途或应用的证明(例如:支付办公室租金或营运费用)
所有提交的文件必须清晰、完整、准确且前后一致,以避免处理延误。

4. 向 SSM 提交法定申报
在收到并完成对所有所需文件及付款证明的满意核实后,公司秘书将:
  • 更新公司的法定名册及内部记录
  • 准备并向**马来西亚公司委员会(SSM)**提交相关法定表格与申报文件
  • 确保公司的股本增加已准确反映于官方记录及公司申报资料中
