COMPANIES ACT 2016 - regulations 《2016

COMPANIES ACT 2016 - regulations 《2016

COMPANIES ACT 2016
“regulations” means regulations under this Act;
Under the Companies Act 2016, the term "regulations" refers to subsidiary legislation made pursuant to the Companies Act 2016.
Although the definition is brief, it is legally significant because it distinguishes the Companies Act 2016 (the primary legislation enacted by Parliament) from the regulations (subsidiary legislation) made under the authority of the Act.
Regulations provide the detailed procedural, administrative, technical, and operational rules necessary for the effective implementation of the Companies Act 2016. While the Act establishes the fundamental legal principles, the regulations prescribe the practical requirements for compliance.
Accordingly, whenever the Companies Act 2016 refers to "the regulations", it means the regulations that have been made under the authority of the Companies Act 2016, and not regulations made under any other legislation.
________________________________________
Purpose of the Definition
The definition of regulations serves several important purposes:
Clarifies that references to "regulations" relate only to regulations made under the Companies Act 2016.
Provides legal authority for detailed procedural and administrative requirements.
Enables the Act to be implemented effectively without frequent amendments to the primary legislation.
Allows the Government to prescribe matters requiring technical or operational detail.
Ensures flexibility in responding to changing business practices and regulatory needs.
________________________________________
What Are Regulations?
Regulations are a form of subsidiary legislation (also known as delegated legislation or secondary legislation).
They are made under powers conferred by the Companies Act 2016 to prescribe matters necessary or convenient for carrying out the purposes of the Act.
Unlike the Companies Act 2016 itself, which is enacted by Parliament, regulations are made by the authority empowered under the Act and have the force of law once they are validly made and brought into operation.
________________________________________
Relationship Between the Companies Act 2016 and the Regulations
The Companies Act 2016 establishes the legal framework governing companies in Malaysia.
The regulations supplement the Act by providing more detailed rules relating to matters such as:
prescribed forms;
filing procedures;
administrative requirements;
fees and charges;
electronic lodgement;
time limits where prescribed;
procedural requirements; and
other matters authorised by the Companies Act 2016.
The regulations cannot override, amend, or contradict the Companies Act 2016. They must always be consistent with the powers granted by the Act.
________________________________________
Legal Status of Regulations
Regulations made under the Companies Act 2016:
have the force of law;
are legally binding;
must remain within the scope of the authority granted by the Act;
operate together with the Companies Act 2016; and
are enforceable by the relevant regulatory authorities.
Where there is any inconsistency between the Companies Act 2016 and the regulations, the provisions of the Companies Act 2016 prevail, as it is the primary legislation.
________________________________________
Matters Commonly Prescribed by Regulations
Depending on the enabling provisions of the Companies Act 2016, regulations may prescribe matters such as:
forms to be used for statutory filings;
filing and administrative procedures;
prescribed fees;
electronic filing requirements;
procedural requirements for applications;
record-keeping requirements;
notices and certificates;
exemptions where authorised; and
other operational matters necessary for administering the Act.
________________________________________
Power to Make Regulations
The Companies Act 2016 confers power on the appropriate authority to make regulations for carrying out the purposes of the Act.
Such regulations may be made only within the limits authorised by the enabling provisions of the Companies Act 2016.
They cannot create rights, obligations, or offences beyond the authority granted by the Act.

Practical Examples
Example 1 – Prescribed Form

The Companies Act 2016 requires a document to be lodged in the prescribed form.
The applicable regulations specify the form that must be used.
________________________________________
Example 2 – Filing Fee
A company lodges an application with the Companies Commission of Malaysia (SSM).
The amount payable is determined by the regulations made under the Companies Act 2016.
________________________________________
Example 3 – Electronic Lodgement
The regulations prescribe the procedures for electronic filing through SSM's online system.
Companies must comply with those procedural requirements when submitting statutory documents electronically.
________________________________________
Example 4 – Administrative Procedure
The Companies Act 2016 authorises an application to be made to the Registrar.
The regulations prescribe the documents, manner of submission, and supporting information required for the application.
________________________________________
Compliance Requirements
Companies should ensure that they:
comply with both the Companies Act 2016 and all applicable regulations made under the Act;
use the prescribed forms where required;
observe prescribed filing procedures and deadlines;
pay the prescribed fees;
comply with procedural requirements issued under the regulations; and
monitor amendments to the regulations to ensure ongoing compliance.
Failure to comply with the regulations may constitute a breach of the Companies Act 2016 where the Act requires compliance with the prescribed regulations.
________________________________________
Importance
The definition of regulations is fundamental to the operation of the Companies Act 2016 because it identifies the subsidiary legislation that gives practical effect to the Act. While the Companies Act 2016 establishes the overarching legal framework for the incorporation, management, regulation, and winding up of companies, the regulations provide the detailed procedural and administrative rules necessary for its day-to-day implementation.

This legislative structure enables the law to remain adaptable and efficient by allowing technical requirements, prescribed forms, filing procedures, fees, and other operational matters to be updated without the need to amend the primary legislation.

Consequently, compliance with both the Companies Act 2016 and the regulations made under it is essential for companies, directors, company secretaries, and other stakeholders to fulfil their statutory obligations and ensure effective corporate governance.

  • 委任法例(Delegated Legislation);

  • 程序;
  • 行政要求;
  • 技术标准;
  • 运作规则;
  • 表格;
  • 费用;

(Purpose of the Definition)

  • 明确《2016 年公司法》中“规例”仅指根据该法令制定的规例;
  • 区分主要法例与附属法例;
  • 为详细程序及行政要求提供法律依据;
  • 使《2016 年公司法》的原则能够有效落实;
  • 允许政府制定技术性及操作性规则;
  • 避免每次修改表格、费用或程序时均须修订主要法例;
  • 提高公司监管制度的灵活性;

(What Are Regulations?)

  • 应使用的法定表格;
  • 呈报文件的方法;
  • 申请程序;
  • 所需支持文件;
  • 法定费用;
  • 电子呈报规定;
  • 记录保存要求;
  • 通知格式;
  • 证书内容;

  • 依法制定;
  • 符合授权范围;

Relationship Between the Companies Act 2016 and the Regulations)

  • 公司注册成立;
  • 公司法律地位;
  • 董事职责;
  • 公司秘书;
  • 股份及股本;
  • 公司会议;
  • 财务报表;
  • 法定审计;
  • 押记;
  • 公司重组;

  • 应使用什么表格;
  • 文件应如何提交;
  • 申请须附上哪些资料;
  • 应缴付多少费用;
  • 是否可通过电子方式呈报;
  • 何种格式属可接受;

(Primary and Subsidiary Legislation)

(Primary Legislation)

  • 建立公司制度;
  • 赋予法定权利;
  • 规定公司责任;
  • 设立违法行为;

(Subsidiary Legislation)

  • 有明确的法定授权;
  • 在授权范围内制定;
  • 符合主要法例的目的;

  • 技术性事项;
  • 行政程序;
  • 电子系统变更;
  • 表格更新;

(Legal Status of Regulations)

  • 具有法律效力;
  • 对公司及相关人士具有约束力;
  • 可由有关监管机构执行;
  • 必须与《2016 年公司法》一并遵守;

  • 必须使用指定表格;
  • 必须附上某项证明文件;
  • 必须缴付规定费用;

(Regulations Must Remain Within the Enabling Power)

  • 授权范围原则;

  • 与《2016 年公司法》相抵触;
  • 修改法令的基本原则;
  • 废除法令所赋予的权利;
  • 扩大主管机关超出法令范围的权力;
  • 创设法令未授权的重大义务;

  • 无效;
  • 部分无效;

(Conflict Between the Act and the Regulations)

  • 《2016 年公司法》属于主要法例;

(Regulations, Guidelines, Circulars and Practice Notes)

  • 规例;
  • 指引;
  • 通告;
  • 实务说明;
  • 常见问题;

(Matters Commonly Prescribed by Regulations)

(Prescribed Forms)

  • 注册成立申请;
  • 董事变更通知;
  • 公司秘书变更通知;
  • 注册办事处变更;
  • 押记登记;
  • 股份配发;
  • 公司名称变更;

(Filing and Lodgement Procedures)

  • 文件提交方式;
  • 提交地点;
  • 电子呈报方法;
  • 申请步骤;
  • 签署要求;
  • 身份验证方法;

(Prescribed Fees)

  • 公司注册费用;
  • 名称保留费用;
  • 文件呈报费用;
  • 公司资料查询费用;
  • 证书费用;
  • 押记登记费用;

(Electronic Lodgement)

  • 哪些文件须电子提交;
  • 可使用的电子系统;
  • 电子签署方式;
  • 用户身份验证;
  • 文件格式;
  • 系统提交时间;

(Supporting Documents)

  • 董事会决议;
  • 成员决议;
  • 法定声明;
  • 身份证明文件;
  • 同意书;
  • 法院命令;
  • 公司章程;
  • 证明书;

(Record-Keeping Requirements)

  • 公司记录;
  • 会计记录;
  • 法定登记册;
  • 电子资料;
  • 会议记录;
  • 股份记录;

(Notices and Certificates)

  • 通知的格式;
  • 通知送达方式;
  • 证书内容;
  • 文件副本格式;

(Applications and Approvals)

  • 表格;
  • 资料;
  • 支持文件;
  • 费用;
  • 声明;

9. 豁免(Exemptions)

  • 某些公司类别的豁免;
  • 某些文件的豁免;

(Power to Make Regulations)

  • 执行法令;
  • 补充法令;
  • 规定程序;
  • 处理技术事项;

  • 有明确授权条文;
  • 内容与法令目的有关;
  • 不超越授权范围;
  • 不与法令冲突;

(Making, Publication and Commencement of Regulations)

  • 根据法令授权拟定规例;
  • 由适当主管机关批准;
  • 在宪报刊登;

  • 宪报刊登日期;

  • 规例是否已经正式公布;
  • 是否已生效;
  • 是否存在过渡期;

(Amendment of Regulations)

  • 修改;
  • 取代;
  • 撤销;

  • 更新法定表格;
  • 调整费用;
  • 推行电子呈报;
  • 简化公司程序;
  • 加强监管;
  • 配合科技发展;

(Relationship Between Regulations and “Prescribed”)

  • “以订明表格提交”;
  • “缴付订明费用”;
  • “在订明期限内完成”;

  • 相关规例;
  • 修正规例;
  • 法定命令;

(Practical Examples)

(Prescribed Form)

  • 表格内容;
  • 资料栏目;

(Filing Fee)

ABC Sdn. Bhd.

(Electronic Lodgement)

(Administrative Procedure)

  • 申请表格;
  • 支持文件;
  • 申请声明;

XYZ Sdn. Bhd.

(Compliance Requirements)

  • 同时遵守《2016 年公司法》及所有适用规例;
  • 使用当前有效的订明表格;
  • 遵守规定的呈报程序;
  • 按时提交法定文件;
  • 缴付正确的订明费用;
  • 附上所有必要支持文件;
  • 遵守电子呈报要求;
  • 依照规定方式保存公司记录;
  • 确保董事及公司秘书了解最新规例;
  • 定期检查规例是否已被修订;

  • 新规例;
  • 修正规例;
  • 生效日期;
  • 过渡安排;
  • 表格变更;

(Consequences of Non-Compliance)

  • 文件被拒绝接纳;
  • 申请被退回;
  • 交易延误;
  • 法定期限届满;
  • 迟交费用;
  • 罚款;
  • 行政制裁;
  • 公司或高级人员构成违法;
  • 注册或批准无法生效;
  • 押记登记出现问题;

  • 有关法令条文;
  • 规例内容;
  • 不合规行为的性质;
  • 是否属于故意行为;

(Practical Approach to Checking Regulations)

  1. 《2016 年公司法》的有关条文;
  2. 该条文是否授权制定规例;
  3. 是否已有相关规例;
  4. 规例是否已被修订;
  5. 当前有效的表格及费用;
  6. 是否存在电子呈报要求;

  • 使用错误表格;
  • 支付错误费用;
  • 错过法定期限;

(Importance)

  • 公司成立;
  • 公司管理;
  • 董事职责;
  • 股东权利;
  • 股本及股份;
  • 财务报告;
  • 公司监管;
  • 重组;

  • 法定表格;
  • 呈报程序;
  • 电子提交;
  • 申请方式;
  • 支持文件;
  • 法定费用;

  • 避免主要法例载有过多技术细节;
  • 使行政要求能够较迅速更新;
  • 配合商业及科技发展;
  • 提高公司登记系统的效率;
  • 统一公司呈报及申请程序;
  • 让注册官能够有效执行法令;

  • 有《2016 年公司法》的授权;
  • 符合法令目的;
  • 不得超越授权范围;
