Importance
The Registrar is one of the most significant statutory authorities under the Companies Act 2016. As the officer designated under subsection 20A(1) of the Companies Commission of Malaysia Act 2001 (Act 614), the Registrar is responsible for administering the corporate registration system, maintaining the official register of companies, receiving statutory filings, and exercising regulatory and enforcement powers conferred by law.
The Registrar's functions ensure that companies are properly incorporated, corporate information remains accurate and accessible, and statutory obligations are effectively enforced. Through these responsibilities, the Registrar plays a central role in promoting legal certainty, corporate transparency, investor confidence, and the integrity of Malaysia's corporate regulatory framework.
- 公司注册成立;
- 公司资料登记;
- 法定文件呈报;
- 公司记录维护;
- 押记登记;
- 公司名称管理;
- 公司类别转换;
- 公司除名;
(Purpose of the Definition)
- 明确负责执行及管理《2016 年公司法》的法定主管机关;
- 赋予注册官履行法定职责及行使法定权力的法律基础;
- 建立统一的公司注册及公司资料管理制度;
- 确保公司文件由适当主管机关接收、处理及登记;
- 促进对马来西亚公司进行持续监管;
- 维护公司登记资料的准确性、透明度及完整性;
(Designation of the Registrar)
- 行使《2016 年公司法》赋予注册官的权力;
- 履行该法令规定的职责;
- 管理公司注册系统;
- 接收及处理法定文件;
(Functions of the Registrar)

(Registration of Charges)

- 是否已通过所需决议;
- 公司是否符合转换条件;
- 公司名称是否已适当变更;
- 是否已提交所需文件;
(Striking Off a Company)

- 考虑董事、成员、债权人或其他利害关系人的反对;

- 已停止营业;
- 无未清偿负债;
- 无进行中的诉讼;
- 无欠缴政府款项;
- 无尚未处理的资产;

- 伪造文件;
- 无效决议;

(Regulatory and Enforcement Functions)

- 促使公司恢复合规;
- 维护公司登记资料准确;
- 防止公司制度被滥用;
(Relationship with Other Regulatory Authorities)

ABC Sdn. Bhd.

- 复核;
- 上诉;
- 重新申请;
- 超越法定权限;
- 未遵守公平程序;
- 考虑无关因素;
- 忽略重要事实;
(Compliance Requirements)
- 在订明期限内向注册官提交所有法定文件;
- 所提交资料完整、准确及真实;

- 文件被拒绝登记;
