“年度股东大会”（Annual General Meeting），就**公众公司（Public Company）**而言，是指根据《2016 年公司法》第 340 条（Section 340） 规定，必须召开的一次股东大会。
释义
根据《2016 年公司法》，年度股东大会（AGM）仅适用于公众公司（Public Company）。
公众公司必须按照《2016 年公司法》第 340 条的规定，在法定期限内召开年度股东大会，以处理法定事项，包括但不限于：
• 提呈及审议经审计财务报表（Audited Financial Statements）；
• 接收董事会报告及审计师报告（Directors' Report and Auditors' Report）；
• 委任或续聘审计师（Appointment or Re-appointment of Auditors）；
• 处理其他依法须于年度股东大会审议的事项。
根据《2016 年公司法》，私人有限公司（Private Company / Sdn.
