COMPANIES ACT 2016
“prospectus” means any prospectus, notice, circular, advertisement or invitation inviting applications or offers from the public to subscribe for or purchase or offering to the public for subscription or purchase any shares in or debentures of or any units of shares in or units of debentures of a corporation or proposed corporation and, in relation to any prospectus registered under the Capital Markets and Services Act 2007, means a prospectus as defined in that Act;
Under the Companies Act 2016, a prospectus is a document or communication issued to the public for the purpose of raising capital by inviting members of the public to invest in a corporation.
The definition is intentionally broad and extends beyond a document formally titled "Prospectus." It includes any notice, circular, advertisement, invitation, brochure, electronic communication, or similar publication that invites the public to:

Corporation or Proposed Corporation

Relationship with the Capital Markets and Services Act 2007
The Companies Act 2016 specifically recognises the Capital Markets and Services Act 2007 (CMSA).
Where a prospectus is registered under the CMSA:
- the definition contained in the CMSA applies;
- the disclosure requirements under the CMSA govern the prospectus; and
- the prospectus must comply with both the applicable provisions of the CMSA and the Companies Act 2016 where relevant.
