COMPANIES ACT 2016
“private company” means—
(a) any company which immediately prior to the commencement of this Act was a private company under any corresponding previous written law;
(b) any company incorporated as a private company under this Act; or
(c) any company converted into a private company under section 41,
being a company which has not ceased to be a private company under section 42;
Under the Companies Act 2016, a private company is a company that is recognised by law as having private company status and which continues to retain that status unless it ceases to be a private company in accordance with section 42.
A private company is the most common form of business entity in Malaysia, particularly for small and medium-sized enterprises (SMEs), family-owned businesses, start-ups, professional firms, and private investment companies.
Unlike a public company, a private company cannot offer its shares or debentures to the public and is subject to restrictions intended to preserve its private ownership structure.
Purpose of the Definition
The definition of private company serves several important purposes:
- Distinguishes private companies from public companies.
- Preserves the legal status of companies incorporated before the Companies Act 2016 came into force.
- Recognises companies incorporated or converted under the Companies Act 2016.
- Establishes the legal framework applicable to privately owned companies.
- Determines the rights, obligations, and regulatory requirements applicable to private companies.
Categories of Private Companies
The Companies Act 2016 recognises three categories of private companies.
1. Existing Private Companies
A company that was already registered as a private company immediately before the Companies Act 2016 came into operation continues to be recognised as a private company.
This ensures continuity of legal status without requiring re-registration.
2. Companies Incorporated as Private Companies
A company incorporated directly under the Companies Act 2016 as a private company automatically falls within this definition.
Most newly incorporated companies in Malaysia are established in this manner.
3. Companies Converted into Private Companies
A company that was previously a public company may convert into a private company under section 41, provided the statutory requirements are satisfied.
Once the conversion is completed, the company becomes a private company unless it subsequently ceases to be one under section 42.
Essential Characteristics of a Private Company
Although the detailed requirements are found in various provisions of the Companies Act 2016, a private company generally possesses the following characteristics:
(a) Separate Legal Entity
A private company is a separate legal person distinct from its shareholders and directors.
It may:
- own property;
- enter into contracts;
- sue and be sued; and
- continue in existence regardless of changes in ownership.
(b) Limited Liability
Where incorporated as a company limited by shares, the liability of its shareholders is generally limited to any unpaid amount on their shares.
Personal assets of shareholders are ordinarily protected from the company's liabilities.
(c) Restriction on Public Fundraising
A private company cannot invite the public to subscribe for:
- shares;
- debentures; or
- other securities,
except as permitted by law.
Its capital is therefore raised privately rather than through public investment.
(d) Private Ownership
Ownership is generally confined to a limited group of persons, such as:
- founders;
- family members;
- private investors;
- venture capital investors; or
- institutional investors.
(e) Simpler Regulatory Requirements
Compared with public companies, private companies generally enjoy:
- simpler governance requirements;
- reduced disclosure obligations;
- greater operational flexibility; and
- lower compliance costs.
Conversion into a Private Company
Under section 41, a public company may convert into a private company if it satisfies the statutory conditions.
Following conversion:
- the company's legal status changes;
- it becomes subject to the provisions governing private companies; and
- it continues as the same legal entity without affecting its existing rights, obligations, or liabilities.
When Does a Company Cease to Be a Private Company?
A company ceases to be a private company if it satisfies the requirements under section 42 of the Companies Act 2016.
Once the conversion takes effect:
- the company becomes a public company;
- it must comply with the provisions applicable to public companies; and
- it loses the legal status of a private company.
Advantages of a Private Company
A private company offers several advantages, including:
- limited liability protection for shareholders;
- separate legal personality;
- perpetual succession;
- relatively straightforward incorporation procedures;
- greater flexibility in management;
- reduced regulatory burden compared with public companies;
- easier decision-making due to fewer shareholders; and
- suitability for closely held businesses.
Practical Examples
Example 1 – Newly Incorporated Company
Mr. Tan and Ms. Lim incorporate ABC Sdn. Bhd. under the Companies Act 2016.
The company is incorporated as a private company and is governed by the provisions applicable to private companies.
Example 2 – Existing Company
XYZ Sdn. Bhd. was incorporated under the Companies Act 1965 before the Companies Act 2016 came into force.
It automatically continues as a private company under paragraph (a) of the definition.
Example 3 – Conversion from Public Company
DEF Berhad satisfies the requirements under section 41 and converts into DEF Sdn. Bhd.
Following the conversion, the company becomes a private company while remaining the same legal entity.
Example 4 – Change to Public Company
GHI Sdn. Bhd. subsequently converts into a public company in accordance with section 42.
From the effective date of conversion, it ceases to be a private company and must comply with the legal requirements applicable to public companies.
Compliance Requirements
Every private company should ensure that it:
- complies with the Companies Act 2016 and its constitution;
- maintains all statutory registers and corporate records;
- lodges all required documents with the Companies Commission of Malaysia (SSM) within the prescribed time;
- does not make unauthorised public offers of shares or other securities;
- complies with the requirements governing directors, members, company secretaries, and financial reporting; and
- observes the statutory requirements if converting to or from private company status.

“私人公司”(Private Company) 是指:
(一)在《2016 年公司法》开始实施之前,已根据任何相应的先前成文法被认定为私人公司的任何公司;
(二)根据《2016 年公司法》以私人公司形式注册成立的任何公司;或
(三)根据《2016 年公司法》第 41 条转换为私人公司的任何公司,
但前提是该公司尚未根据第 42 条终止其私人公司地位。
根据《2016 年公司法》,私人公司(Private Company) 是指依法取得私人公司地位,并持续保有该地位,直至其根据第 42 条不再属于私人公司的公司。

定义的目的(Purpose of the Definition)
《2016 年公司法》对私人公司作出明确定义,主要具有以下目的:
- 区分私人公司与公众公司的法律地位;
- 保留在《2016 年公司法》生效前已存在的私人公司地位;
- 承认根据《2016 年公司法》新注册成立的私人公司;
- 承认根据第 41 条由公众公司转换而成的私人公司;
- 明确私人公司所适用的法律、治理及合规制度;
- 确定私人公司的权利、责任及监管要求;以及
- 确保私人公司地位的延续及法律确定性。
私人公司的三种法定类别(Categories of Private Companies)
《2016 年公司法》承认以下三类私人公司:
1. 原有私人公司(Existing Private Companies)
凡在《2016 年公司法》生效前,已根据先前适用的成文法登记为私人公司的公司,均继续被承认为私人公司。
例如,根据《1965 年公司法》(Companies Act 1965)注册成立的 Sdn. Bhd. 公司,无须重新注册,即可继续保有其私人公司地位。
此项规定确保:
- 公司法律地位持续有效;
- 无须重新注册或重新成立;
- 公司原有权利及责任不受影响;以及
- 新旧公司法制度之间顺利衔接。
2. 根据《2016 年公司法》注册成立的私人公司(Companies Incorporated as Private Companies)
凡根据《2016 年公司法》直接以私人公司形式注册成立的公司,均自动属于本定义所指的私人公司。
在马来西亚,新成立的私人股份有限公司通常采用:
“Sendirian Berhad”或“Sdn. Bhd.”
作为公司名称结尾。
大部分中小型企业、初创企业及家族企业,均以此方式注册成立。
3. 转换为私人公司的公司(Companies Converted into Private Companies)
原为公众公司的公司,可在符合《2016 年公司法》第 41 条规定的情况下,转换为私人公司。
转换完成后:
- 公司由公众公司变更为私人公司;
- 公司开始适用私人公司的法律规定;
- 公司名称通常由“Berhad”或“Bhd.”改为“Sendirian Berhad”或“Sdn. Bhd.”;以及
- 公司仍然是同一个法人实体。
转换不会自动终止或改变公司的:
- 资产;
- 债务;
- 合同;
- 诉讼;
- 法律责任;或
- 其他既有权利及义务。
私人公司的基本特征(Essential Characteristics of a Private Company)
私人公司的具体法律要求分布于《2016 年公司法》的不同条文中。一般而言,私人公司具有以下主要特征:
(一)独立法人资格(Separate Legal Entity)
私人公司是独立于其股东及董事的法人。
公司可依法:
- 拥有财产;
- 开设银行账户;
- 签订合同;
- 聘用雇员;
- 借入资金;
- 起诉他人;
- 被他人起诉;以及
- 以自身名义经营业务。
即使公司股东、董事或管理人员发生变更,公司仍可持续存在。
(二)有限责任(Limited Liability)
私人公司通常以**股份有限公司(Company Limited by Shares)**形式注册成立。
在此情况下,股东的责任一般仅限于其所持股份中尚未缴付的金额。
例如,若某股东认购 RM100,000 股份,并已全额缴付该款项,该股东通常无需以个人资产承担公司的普通商业债务。
然而,有限责任并非绝对。
若股东或董事涉及:
- 欺诈;
- 失实陈述;
- 违法行为;
- 违反董事职责;
- 提供个人担保;或
- 滥用公司法人地位,
有关人士仍可能承担个人法律责任。
(三)限制向公众募集资金(Restriction on Public Fundraising)
私人公司不得未经法律允许,邀请公众认购:
- 股份;
- 债权证(Debentures);
- 其他证券;或
- 公司的投资权益。
私人公司一般只能通过私人方式筹集资金,例如:
- 现有股东增资;
- 私人配售;
- 股东贷款;
- 银行融资;
- 私人投资者投资;或
- 风险投资融资。
此项限制是私人公司与公众公司之间最重要的法律区别之一。
(四)私人持股结构(Private Ownership)
私人公司的所有权通常由有限人数持有,例如:
- 创办人;
- 家族成员;
- 商业伙伴;
- 私人投资者;
- 风险投资基金;
- 私募股权基金;或
- 机构投资者。
由于股东人数及持股范围通常较集中,私人公司的决策程序一般较灵活及迅速。
(五)相对简化的监管要求(Simpler Regulatory Requirements)
与公众公司相比,私人公司一般享有:
- 较简化的公司治理要求;
- 较少的公众披露责任;
- 较灵活的决策程序;
- 较低的行政及合规成本;以及
- 较少涉及公众投资者保护的监管要求。
然而,私人公司仍必须全面遵守《2016 年公司法》,包括:
- 委任董事;
- 委任公司秘书;
- 保存法定登记册;
- 提交年度申报表;
- 编制财务报表;
- 保存会计记录;以及
- 履行实益拥有权申报责任。
私人公司的名称(Name of a Private Company)
根据《2016 年公司法》,私人公司名称通常须以以下字样结尾:
- Sendirian Berhad;或
- Sdn. Bhd.
“Sdn. Bhd.”表示该公司为私人股份有限公司,而非公众公司。
例如:
- ABC Trading Sdn. Bhd.
- XYZ Holdings Sdn. Bhd.
- Malaysia Technology Sendirian Berhad
公司不得错误使用可能使公众误以为其属于公众公司的名称或简称。
转换为私人公司(Conversion into a Private Company)
根据《2016 年公司法》第 41 条,公众公司可在符合所有法定条件的情况下转换为私人公司。
转换程序通常涉及:
- 取得所需的股东批准;
- 修改公司名称;
- 修改公司章程(如适用);
- 确保公司符合私人公司的法定条件;
- 向马来西亚公司委员会(Suruhanjaya Syarikat Malaysia,SSM)提交所需文件;以及

转换完成后:

- 公司仍作为同一法人持续存在。
换言之,转换属于公司地位的变更,而非成立一家新公司。
公司何时不再属于私人公司?(When Does a Company Cease to Be a Private Company?)
若公司根据《2016 年公司法》第 42 条完成有关程序,其可不再属于私人公司,并转为公众公司。
转换生效后:
- 公司成为公众公司;
- 公司不再享有私人公司地位;
- 公司须遵守适用于公众公司的法律及监管规定;
- 公司名称通常须由“Sdn. Bhd.”改为“Berhad”或“Bhd.”;以及
- 公司可能承担更高程度的公司治理、披露及财务报告责任。
公司不得仅通过内部决议或商业行为,自行宣称其已不再属于私人公司。其地位变更必须按照《2016 年公司法》的正式程序完成。
私人公司的优势(Advantages of a Private Company)
私人公司通常具有以下优势:
- 股东享有有限责任保障;
- 公司具有独立法人资格;
- 公司享有永久延续性(Perpetual Succession);
- 注册成立程序相对简便;

私人公司的潜在限制(Potential Limitations)

陈先生与林女士根据《2016 年公司法》注册成立 ABC Sdn. Bhd.
该公司自注册成立之日起,即属于私人公司,并须遵守适用于私人公司的法律规定。
例子二:原有私人公司(Existing Private Company)
XYZ Sdn. Bhd. 于《1965 年公司法》生效期间注册成立,并在《2016 年公司法》开始实施前已属于私人公司。
该公司无须重新注册,即根据定义第(一)段继续被承认为私人公司。
例子三:由公众公司转换为私人公司(Conversion from Public Company)
DEF Berhad 根据第 41 条完成转换程序,并更名为 DEF Sdn. Bhd.
转换完成后:
- 公司成为私人公司;

- 公司仍是原有的同一法人实体。
其资产、债务、合同及其他法律责任不会因转换而自动消失。
例子四:由私人公司转换为公众公司(Conversion into a Public Company)
GHI Sdn. Bhd. 根据第 42 条完成转换程序,成为 GHI Berhad。
从转换生效日期起:
- 该公司不再属于私人公司;
- 公司须遵守公众公司的法定要求;以及
- 公司名称及公司记录须作出相应更新。
例子五:未经授权向公众募集资金(Unauthorised Public Fundraising)
JKL Sdn. Bhd. 在社交媒体上公开邀请任何公众人士认购其股份,并承诺固定投资回报。
由于私人公司一般不得向公众公开募集股份资本,该行为可能违反《2016 年公司法》及其他适用的资本市场法律。
公司在进行融资前,应取得专业法律及合规意见。
合规要求(Compliance Requirements)
每家私人公司均应确保:
- 遵守《2016 年公司法》及公司章程;
- 至少维持法定最低董事人数;
- 委任符合资格的公司秘书;
